本保函由保证人根据以下条件、规定向受益人发出以确保乙方按照参与上述项目的合同（以下简称“本合同”）所规定的条款和条件，完全装备好、完全施工并完工交付并由受益人按劳给予酬金的义务。

保证人将根据本保函的规定，认可并遵守乙方的请款，无论这些款项是否在受益人的要求下而实质上是支出了，这种请款应符合以下两个基本要件：

1. 乙方根据其在与受益人之间所签订的合同协议提交的请求。

2. 受益人已就乙方所提，请款的事项确认其履行情况。

保证人同意，只要受益人向保证人提交所示金额小于或等于本【履约保函】第6(六)条所计算的保函金额的请款，保证人认为拖欠无效，由此产生的一切责任将撤回。

除非本保函状告失效或有效期结束，否则保证人在收到受益人的书面通知后十五天内采取措施办理退款。

本保函受国际银行相互协会发表的保函惯例（1993年修订版），不论法律爱何规定和证明，都将受中华人民共和国法律及法规管辖——

This Bond is issued by the Guarantor to the Beneficiary as a guarantee, under the following conditions and provisions, to ensure that the Party B shall fully equip, construct, complete and deliver the project in accordance with the terms and conditions stipulated in the contract (hereinafter referred to as the "Contract"), and receive remuneration from the Beneficiary according to the labor performed.

The Guarantor shall accept and comply with the requests for payment made by the Party B in accordance with the provisions of this Bond, regardless of whether such payments have actually been made at the request of the Beneficiary. The request for payment must meet the following two basic requirements:

1. The Party B submits the request based on the contractual agreement entered into between the Party B and the Beneficiary.

2. The Beneficiary has confirmed the performance of the matters for which the Party B has made the payment request.

The Guarantor agrees that any claim considered invalid by the Guarantor as long as the amount submitted by the Beneficiary to the Guarantor is less than or equal to the bond amount calculated under Article 6 of this Performance Bond, and all liabilities arising therefrom shall be withdrawn.

Unless this Bond is declared invalid or the validity period ends, the Guarantor shall take measures to refund after receiving written notice from the Beneficiary within fifteen days.

This Bond shall be governed by the laws and regulations of the People's Republic of China regardless of any legal provisions or evidence to the contrary, in accordance with the International Standby Practices published by the International Chamber of Commerce (1993 revised edition).
